Annual General Meeting of Burckhardt Compression: All motions of the Board of Directors approved

At the Annual General Meeting of Burckhardt Compression Holding AG held at the Parkarena in Winterthur, the attending shareholders approved all motions of the Board of Directors. The dividend was set at CHF 5.00 per share.

After the welcome address by Chairman Hans Hess and a review of the company’s 2009 fiscal year by CEO Valentin Vogt and CFO Rolf Brändli, the shareholders approved the annual report, the financial statements and the consolidated financial statements for the fiscal year 2009. They also approved the motion to pay a dividend of CHF 5.00 per share out of the retained earnings of CHF 123.3 million.

Further, the shareholders approved amendments to the Articles of Association in order to comply with the new Swiss Federal Act on Intermediated Securities, amendments to the term of office for members of the Board of Directors, as well as the deletion of Art. 5 para. 6 of the Articles of Association.

All current Board members were reelected by the shareholders with different terms, as proposed.

The shareholders approved a general release of the members of the Board of Directors and the Executive Board for fiscal year 2009. PricewaterhouseCoopers AG was confirmed as the statutory auditors for fiscal year 2010.
